We review a wide range of internal and external legal issues and contractual issues that may pose a risk to our client’s business and provide advice from varied perspectives to avoid such risk.

We also draft and negotiate agreements (sales and purchase agreements, services agreements, business alliance agreements, distributor agreements, etc.) in a manner that allows our clients to effectively mitigate risk by taking into account the purpose and type of the transaction, our client’s line of business, and other factors. Our firm also has extensive experience in advising and assisting our clients in running meetings of shareholders and board of directors, drafting company rules, and implementing takeover defense mechanisms. Also, we routinely research domestic and foreign laws and negotiate with regulatory authorities in connection with new businesses.

Representative matters in which our attorneys have been involved

  • Represented a hotel management company in negotiating and executing a management agreement with an overseas hotel chain.
  • Have advised on the formulation of schemes and the procedures for acquiring control of both publicly held and privately held companies.
  • Involved in the creation of an employee incentive plan for a global company.
  • Extensive experience dealing with various types of agreements, such as sales and purchase agreements, business alliance agreements, joint venture agreements, distributor agreements, franchise agreements, license agreements, services agreements, lease agreements, confidentiality agreements, consulting agreements, and business transfer agreements.
  • Extensive experience handling employment and labor issues, such as preparing work rules and other company rules, drafting employment agreements, and advising on the dismissal of employees for reorganization purposes.
  • Drafted summaries, contracts, and documents required under the Companies Act for the adoption of various incentive plans such as stock option grants to executives for both publicly held and privately held companies, and also advised on the procedures that comply with the relevant laws and regulations and the rules established by self-regulatory organizations.
